Research Use Only (RUO): All products are sold strictly for Research Use Only—not for human or animal consumption, diagnostic, therapeutic, or household use. 1) Eligibility, Accounts & Identity

- Age & role: You represent you are at least 18 years old and a qualified researcher or purchasing on behalf of a laboratory, business, or institution.

- Account accuracy: You must provide accurate information and keep it updated. We may request business/institutional details, end-use confirmations, or other documentation to verify RUO compliance.

- Refusal/termination: We may refuse or cancel accounts or orders at our discretion (e.g., compliance flags, fraud screening, restricted destinations).

2) Orders, Acceptance & Availability

- Your order is an offer to buy. We accept when we confirm shipment. Order confirmation emails acknowledge receipt but do not guarantee availability or acceptance.

- We may limit quantities or split/hold orders (e.g., for verification). If an item is unavailable or backordered, we will notify you and offer options.

3) Pricing, Taxes & Payment Terms

- Prices: Displayed in USD unless noted. We may correct pricing errors and cancel/refund orders placed at an incorrect price.

- Taxes/fees: You are responsible for applicable sales/use taxes, duties, brokerage, and import fees.

- Payment methods: We accept card payments (processed by third-party processors), PayPal (where offered), Bank Transfer (BACS), and—in some regions—crypto. We do not store full card numbers.

- BACS/crypto: Orders ship after funds are confirmed. For crypto/BACS refunds, see our Returns & Refunds Policy (generally store credit or USD transfer at our discretion; we do not send refunds to crypto wallets).

- Fraud screening: Orders may be screened using AVS/CVV, IP/device checks, and risk tools. We may cancel and refund if risk signals are present.

4) Shipping, Risk of Loss & Delivery

- Shipping methods and rates are shown at checkout. Processing time is typically 1–2 business days for in-stock items; carrier transit time is additional.

- Risk of loss/title pass to you when the carrier accepts the shipment at our facility. Signature may be required for certain orders.

5) Returns, Refunds & RMAs

- Returns are controlled to protect product integrity. Unopened, untampered items may be eligible within 14 days with prior RMA. Opened/reconstituted vials and custom/special orders are non-returnable. Original shipping is non-refundable unless our error. See our Returns & Refunds Policy.

6) RUO Compliance, End-Use & Law

- All products are RUO and not for human or animal use, clinical/diagnostic application, or therapeutic purposes.

- You agree to use products only in qualified laboratory settings and to follow appropriate SOPs for reconstitution, storage, and handling.

- We may request end-use declarations and institutional details, and may cancel orders inconsistent with RUO status or applicable law.

7) Export Control & Sanctions

- You represent and warrant you are not on any U.S. or international sanctions list (e.g., OFAC), and you will not export, re-export, or transfer products in violation of U.S. export control laws.

- We may decline, cancel, or refund orders to restricted countries, entities, or end-uses.

8) Product Information, COA & Disclaimers

- Product listings, specifications, and Certificates of Analysis (COA) are provided for research reference only and may change without notice.

- We strive for accuracy but do not warrant that product descriptions, images, or documentation are error-free. If a product materially differs, your remedy is return/refund under our Returns Policy.

9) Site License, Acceptable Use & Intellectual Property

- Informal resolution: Before filing a claim, you agree to email and allow 30 days for resolution.

- Binding arbitration: Except for small-claims matters or injunctive relief to stop misuse of IP, any dispute arising from these Terms or your purchase will be resolved by confidential, binding arbitration on an individual basis under the rules of the American Arbitration Association (AAA). The arbitration may be conducted by video/teleconference or in the county/state of our principal place of business, unless we agree otherwise.

- Class action waiver: YOU AND Helix Source AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

- Chargebacks & disputes: We take payment disputes very seriously. Submitting a chargeback that contradicts verified records (e.g., after confirmed delivery or after a refund) may be treated as fraudulent or abusive. We may deny future orders, suspend accounts, and seek recovery of chargeback fees and costs to the extent permitted by law. Please contact us first—we resolve most issues quickly.
